Common questions about dormant accounts
My company has never traded — does it still need to file accounts with Companies House?
Yes. A company registered at Companies House must file accounts every year regardless of whether it has traded. Dormant accounts are a simplified version — a balance sheet with no profit and loss required — but the filing deadline and the penalty structure are the same as for a trading company. Missing the deadline attracts an automatic fine starting at £150, rising the longer it remains unfiled.
What exactly is included in the £50 fee?
The £50 covers preparation of the dormant company balance sheet, filing of the dormant accounts to Companies House, and notification to HMRC of the company’s dormant status where that is required. There are no additional charges for a straightforward dormant filing. If anything unusual comes up during our review — for example, a previous year’s accounts have not been filed — we will tell you before doing any additional work.
My company has missed a previous year’s dormant filing — can you sort the backlog?
Yes. If accounts are overdue for one or more previous accounting periods, we can file each year separately. Each filing is treated as a separate engagement at the same fixed fee. We will also advise on any late filing penalties that may already apply so there are no surprises when Companies House confirms the submission.
Is there a contract or ongoing commitment if I use you once?
No. Dormant company accounts are a one-off annual engagement. You instruct us when you need the filing done and there is no ongoing retainer or contract. Many clients return year after year because it is easier than managing it themselves — but that is entirely your choice.
Does a dormant company need to tell HMRC it is dormant, or is Companies House sufficient?
The two obligations are separate. Filing with Companies House keeps the company on the register in good standing. Separately, if HMRC has previously issued a Corporation Tax notice to file a return, HMRC also needs to be told the company is dormant and that no CT600 is required. We check which notifications apply and handle both where necessary within the same engagement.
What happens if I want to start trading again in the future?
Reactivating a dormant company is straightforward. You notify HMRC that the company has started trading, and your accounting obligations move to full company accounts and a Corporation Tax return from that point. We can handle the full accounts and CT600 when the time comes — and if you want to discuss the most tax-efficient way to start trading, that conversation is part of the service.
