Terms and Conditions
These terms govern your use of the Wings Online Filings website at wingsonlinefilings.co.uk. They are not a client contract — any professional accounting, tax, or compliance services we provide are governed by a separate Engagement Letter, signed by both parties when you come on board. Please take a few minutes to read through this document so you understand how we operate and what to expect.
What this document covers
Wings Online Filings Ltd is a limited company registered in England and Wales under company number 15097680, with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ. These terms set out the rules for using this website, making enquiries through it, and the preliminary relationship between you and us before any formal engagement begins. They do not govern the delivery of professional accountancy services — that is covered by our Engagement Letter, which is agreed separately at the start of each client relationship. By using this website you accept these terms.
How we work with clients
Any professional services we provide — including accounting, tax, bookkeeping, payroll, VAT, and company secretarial work — are governed entirely by an individual Engagement Letter, not by these website terms. The Engagement Letter is a separate document, signed by both you and Wings Online Filings Ltd at the start of your engagement, and it sets out the specific scope of work, fees, responsibilities, and termination provisions that apply to your matter. Where anything in these website terms conflicts with your Engagement Letter, the Engagement Letter takes precedence for all purposes related to professional services.
Using this website
Please use this website lawfully and respectfully — the rules below explain what is and is not acceptable.
Permitted use
You may access and browse this website for your own personal or business purposes — for example, to learn about our services, read insights, or make an enquiry. You must not copy, scrape, reproduce, or commercially exploit any part of the site’s content without our written permission.
User conduct
You must not use this website for any unlawful, fraudulent, or harmful purpose. This includes attempting to interfere with or disrupt the site’s technical infrastructure, submitting false or misleading information through any form, or using the site to harass, threaten, or harm any person.
Enquiry form integrity
When you submit an enquiry or quote request through this website, please provide accurate and complete information. We rely on what you tell us to respond appropriately. Submitting deliberately false information through our forms wastes resource and may affect your ability to engage our services.
Reliance on website content
The articles, guides, and other content on this site are general information only — they are not tailored advice for your specific circumstances. If you need specific accounting or tax advice, please get in touch and we will discuss whether and how we can help you formally.
Intellectual property
All content on this website — including text, images, the Wings Online Filings name and logo, page layouts, and any downloadable materials — is owned by or licensed to Wings Online Filings Ltd. You are welcome to read the content and share links to pages on this site, provided you credit the source. You must not reproduce, adapt, or commercially exploit any content from this site without our prior written consent. The Wings Online Filings name and logo are not to be used in any context without our written permission. Nothing in these terms transfers any intellectual property rights to you.
Our professional obligations
Accountancy is a regulated profession and we are subject to a range of legal and professional obligations that shape how we work. The key ones are set out below.
Anti-money laundering checks
We are required by the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (MLR 2017) to verify the identity of every client before we begin work. This means we will ask you for proof of identity and proof of address at onboarding. In some situations we are required to carry out enhanced due diligence. If we cannot satisfactorily complete these checks, we may be unable to start or continue working with you — this is a legal requirement, not a personal judgment.
Record retention
Under MLR 2017 we are required to retain records relating to a client engagement for a minimum of five years after the engagement ends. Tax record-keeping rules may require retention for six or seven years in certain cases. Full details of how and how long we hold personal data are set out in our Privacy Policy.
Suspicious activity reporting
We have a legal duty under the Proceeds of Crime Act 2002 and MLR 2017 to report any knowledge or reasonable suspicion of money laundering or terrorist financing to the National Crime Agency by way of a Suspicious Activity Report (SAR). This duty overrides our duty of confidentiality to you. Importantly, we are prohibited by law from telling you if a SAR has been filed — doing so would constitute a tipping-off offence. We raise this so you are aware of the legal framework we operate within.
Professional regulation
We are bound by the code of ethics and conduct rules of the relevant UK accountancy professional body. Those obligations take precedence over anything inconsistent in these terms or in any Engagement Letter. We are also an Authorised Corporate Service Provider (ACSP) registered with Companies House, and we are supervised for anti-money laundering purposes by HMRC.
Limitation of liability
This section applies to your use of this website only. Our liability in respect of professional services provided under an Engagement Letter is governed exclusively by that Engagement Letter.
Nothing in this section limits or excludes our liability for professional accounting or tax services — those matters are dealt with in the signed Engagement Letter for your engagement. The limits below relate solely to your use of this website and any information you access through it.
Things we do not limit
We do not limit or exclude our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded under the laws of England and Wales, including rights under the Consumer Rights Act 2015 where applicable.
Website-related liability
This website is provided in good faith but on an as-available basis. We do not guarantee that the site will always be accessible, error-free, or free from viruses. Content on the site is general information and is not a substitute for formal professional advice. We are not liable for any loss or damage arising from your reliance on website content alone, where you have not engaged us formally and received advice specific to your circumstances.
Professional services liability
Our liability in connection with professional services is addressed in your individual Engagement Letter, which may set a cap by reference to fees paid or another agreed measure. We hold professional indemnity insurance in line with our professional body’s requirements. The specific terms — including any liability cap — will be set out clearly in your signed Engagement Letter before work begins.
Your responsibilities to us
When you engage us, the quality of our work depends on the accuracy and completeness of the information you provide. You are responsible for ensuring that any figures, records, documents, or other information you give us are, to the best of your knowledge, accurate and complete. If losses arise because information you supplied was inaccurate, incomplete, or misleading — and we acted reasonably on that information — you agree to compensate us for those losses. This is not intended to be an onerous obligation; it is a fair allocation of responsibility that reflects how accountancy services actually work.
Ending these terms
You can stop using this website at any time. We may suspend or withdraw your access to the website if we reasonably believe you have breached these terms. Ending your use of the website does not affect any active Engagement Letter you hold with us — that document has its own provisions for termination and those provisions continue to apply. Obligations that by their nature survive termination — including intellectual property rights, our MLR 2017 record-retention duties, and any accrued rights — remain in force after these terms end.
Law and jurisdiction
These terms are governed by the laws of England and Wales. Any dispute arising out of or connected with these terms will be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, this does not affect any statutory rights you have under applicable UK consumer protection law, including rights under the Consumer Rights Act 2015.
How to raise a complaint
If you have a concern about our service or conduct, please put it in writing and send it to us at info@wingsonlinefilings.co.uk. We will acknowledge your complaint promptly and investigate it fairly, keeping you updated on progress. If you are not satisfied with our response, you have the right to escalate your complaint to the relevant UK accountancy professional body that supervises our work, or to another appropriate regulator or ombudsman where one applies to the nature of your complaint. We will provide details of the appropriate escalation route when we respond to you.
Changes to these terms
We may update these terms from time to time to reflect changes in the law, our services, or our working practices. When we do, the last reviewed date at the top of this page will be updated accordingly. Any material changes that affect an existing client relationship will be communicated through the Engagement Letter process. Continued use of this website after a change is posted indicates your acceptance of the updated terms.
