What exactly is a confirmation statement and do I really need to file one every year?
A confirmation statement (form CS01) is an annual filing that confirms your company’s registered details are correct — including registered office address, directors, shareholders, and share capital. Every UK limited company must file one each year, regardless of whether the company has traded. Failure to file can result in Companies House initiating proceedings to strike the company off the register.
What does the £70 fee cover and are there any extra charges?
The £70 fixed fee covers a review of your current Companies House record, preparation of the CS01 form incorporating any updates required, submission to Companies House, and an alert for next year’s due date. There are no add-ons and no variation depending on how many changes need to be made. The Companies House filing fee itself is paid on top — currently £13 online — and we confirm that amount before proceeding.
Our company details have changed since we last filed — is that a problem?
No. We review your existing record at Companies House and cross-reference it with the information you provide. If there are changes — new director, new registered address, updated share structure — we incorporate them into the filing. If any changes require a separate form before the confirmation statement can be filed, we will tell you that clearly before we proceed.
Is there a contract or minimum term?
The confirmation statement is a one-off annual service. There is no ongoing contract, no minimum term, and no cancellation notice required. You engage us when the filing is due, we file it, and that is the entirety of the arrangement unless you choose to use us for anything else.
Can you file the confirmation statement if you are not our main accountant?
Yes. The confirmation statement does not need to be handled by the same firm that prepares your year-end accounts or corporation tax return. We regularly file confirmation statements for directors whose other compliance is handled elsewhere. You simply provide the relevant company information and we take care of the submission.
What happens if we have missed the deadline and the company is overdue?
An overdue confirmation statement is a fixable problem. Companies House does not charge a late penalty fee for confirmation statements in the way HMRC charges penalties for late tax returns, but a company that repeatedly fails to file can face strike-off action. If your filing is overdue, contact us and we will file it as quickly as possible to bring the record back into good standing.
