HMRC notified, tax position cleared
We notify HMRC of the cessation of trade and confirm that the corporation tax liability is settled. This is the step most directors underestimate — and the one that causes delays when left incomplete. We manage it so it does not hold up the application.
DS01 filed, company removed
Once accounts are filed and HMRC is clear, we prepare and submit the DS01 to Companies House. The company is advertised in the Gazette and removed from the register within approximately two to three months. At that point, you have no further filing obligations.

Things most directors ask before starting
What is the difference between striking off and going into liquidation?
A voluntary strike off (DS01) is the simpler and less expensive route — it is suitable for solvent companies that have ceased trading, have no outstanding debts, and have settled all HMRC obligations. Liquidation is a formal insolvency process and is required where the company has debts it cannot pay. If your company is solvent and just no longer needed, strike off is almost certainly the right route.
What does the strike off service cost?
Company closure is priced on a quote basis because the amount of work varies — the number of years of accounts outstanding, whether there is an active tax position to clear, and whether catch-up bookkeeping is needed all affect the fee. My company has not filed accounts for a couple of years — can you still help?
Yes. Catch-up filing is a regular part of what we do. If accounts are outstanding, we prepare them in sequence before the DS01 is submitted — Companies House requires all statutory filings to be up to date before it will accept a striking-off application. We quote for the catch-up work separately so you know the full cost upfront.
Is there a long-term commitment or contract?
No. The strike off service is a one-off engagement — you get a quote, approve it, and we complete the work. There is no ongoing contract and no retainer. Once the company is removed from the register, the engagement is complete.
Can directors extract retained profits before striking off — and is there a tax advantage?
Directors can distribute retained profits as dividends before applying to strike off. Where the total distributions on dissolution do not exceed £25,000, the amounts are treated as capital rather than income under ESC C16 (now legislated), which may attract Business Asset Disposal Relief at 10% rather than dividend tax rates. Whether this applies depends on your personal circumstances — we can advise as part of the closure process.
What happens if Companies House objects to the strike off application?
Companies House will issue an objection notice if a creditor, HMRC, or another interested party contests the application during the two-month Gazette advertising period. If that happens, the application is suspended and the objection needs to be resolved before it can proceed. We flag this risk upfront and make sure HMRC clearance is in place before the DS01 is submitted — which removes the most common grounds for objection.
