Common questions about closing a limited company
Can any company apply for voluntary strike off, or are there restrictions?
A company cannot apply for voluntary strike off if it has traded or changed its name in the previous three months, or if it is subject to insolvency proceedings, a legal action, or a CVA. If any of those apply, formal liquidation is likely the appropriate route rather than a DS01 application. We will check your specific position before any work begins and advise accordingly.
How much does the company strike off service cost?
Pricing is quote-based because the work involved varies depending on what filings are outstanding and how complex the company’s affairs are. A company with up-to-date accounts and no outstanding tax returns will cost less to close than one with several years of filings to catch up on. We provide a clear, fixed quote after an initial review of your situation, so you know the full cost before committing.
The company has outstanding accounts or tax returns. Does that need to be sorted first?
Yes. Companies House will not accept a DS01 application if HMRC objects, and HMRC is likely to object if there are outstanding corporation tax returns or unpaid tax. We typically prepare and file any overdue accounts and returns as part of the strike off process, then submit the DS01 once HMRC’s records are clear. The quote we provide will include any catch-up work required.
What happens if there is an objection to the striking off?
After the DS01 is submitted, a notice is published in the Gazette and interested parties, including HMRC and creditors, have two months to raise an objection. If an objection is filed, the striking off is suspended and the issue must be resolved before the process can continue. We monitor the application during the objection period and will let you know immediately if anything is raised.
What do we need to do with any remaining assets before closing?
Any assets remaining in the company at the point of dissolution become bona vacantia, meaning they pass to the Crown rather than to the directors or shareholders. Bank accounts should be closed and funds distributed to shareholders as a capital distribution (which may have capital gains tax implications) before the DS01 is submitted. We will flag this during the review stage so nothing is inadvertently lost.
Are there any tax implications for the directors when a company is struck off?
Distributions made to shareholders before striking off may be treated as capital distributions, which are subject to capital gains tax rather than income tax. Depending on the amount involved and whether Entrepreneurs Relief or Business Asset Disposal Relief applies, the tax position can be quite different from a dividend. It is worth reviewing this before making any final distributions, and we can advise on the position as part of the closure process.
