A few things people usually ask first

Does a dormant company actually have to file accounts every year?+

Yes. A company registered at Companies House must file annual accounts even if it has never traded and has no income. The deadline is nine months after your accounting reference date. Missing it results in an automatic penalty from Companies House, starting at £150 and rising the longer the accounts remain outstanding.

What does the £50 fee include, and are there any extras?+

The £50 covers preparation of the dormant company balance sheet, filing with Companies House, and HMRC notification where required. It assumes the company is straightforwardly dormant with no transactions that need explaining. If we review your situation and find it is more complex, we will tell you before starting and confirm any revised fee in writing.

My accounts are overdue. Can you still help?+

Yes. We can prepare and file overdue dormant accounts. The Companies House penalty will still apply for the late period, but filing promptly stops it increasing further. We will confirm what is outstanding, prepare what is needed, and get everything submitted as quickly as possible.

Is there any ongoing commitment if I just need this year’s accounts done?+

No. The dormant accounts service is a one-off fixed fee. You are not signing up to a monthly package or any ongoing contract. If you want us to handle future years or other filings, that is a separate conversation. Nothing rolls over automatically.

My company received a small amount of interest or had a bank account open. Does it still count as dormant?+

Possibly. Companies House allows certain minor transactions without a company losing its dormant status, but the rules are specific. Bank interest and certain formation costs are generally acceptable. We check your situation before preparing anything so the accounts are filed correctly and you are not exposed to a challenge later.

Does HMRC treat a dormant company differently from Companies House?+

Yes, and the two sets of obligations are separate. Companies House requires annual accounts regardless. HMRC needs to know the company is dormant so it does not issue a Corporation Tax return notice for the period. If HMRC has already sent a notice to file a CT600, we will advise on how to handle that alongside the dormant accounts filing.
